Merger of two Dutch family-owned businesses – Air Spiralo and DEC Group

On 15 January 2026, Air Spiralo and DEC Group, two leading European manufacturers in the field of steel and flexible ducts, fittings, and accessories for the HVAC market, completed their merger.
This merger combines the expertise and dedication of the two family companies with its 10 affiliates having 6 production facilities in 5 countries.
Merging of the two companies will provide to the clients a more complete product range, with an aim to full fill the market demand for improvement of air quality in residential, commercial and industrial buildings.

The new organization will be the European HVAC market leader in round, -rigid and -flexible duct work, its accessories as well as in production of silencers.
Orange Corporate Finance advised and supported Air Spiralo throughout the entire transaction process, from preparation to closing. In addition, Orange Corporate Finance acted as debt advisor, including structuring the financing, approaching various potential financiers, negotiations, and coordinating the financing documentation.

Air Spiralo is a leading manufacturer and supplier of mainly circular metal pressed and non-pressed ventilation fittings and high-quality components.
The company’s HQ is situated in the Netherlands (Schagen). Production mainly takes place in Poland and Finland.

DEC Group
